Terms of Service

1. Agreement to Terms

By accessing or using Merov AI (“the Service”), operated by Merov AI Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including individual users, teams, and organizations.

2. Description of Service

Merov AI is an engineering intelligence platform that analyzes code activity and project data from connected third-party tools (such as GitHub and Jira) to provide team-level insights, reports, and briefings for engineering managers.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials. You must provide accurate and complete information when creating your account.

You are responsible for all activity that occurs under your account. Notify us immediately at support@merov.ai if you suspect unauthorized access.

4. Billing and Payments

The Service offers both free and paid subscription plans. Paid plans are billed per engineer tracked (not per user accessing the Service) on a monthly or annual basis.

  • Payments are processed through our third-party payment processor (Stripe).
  • Subscription fees are billed in advance and are non-refundable except as required by law.
  • You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle.
  • Annual plans are billed upfront for the full year at a discounted rate.
  • We reserve the right to change pricing with 30 days' notice.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein.

You retain ownership of all data you provide to the Service. We do not sell your data or use it to train AI models outside of providing the Service to you.

6. Acceptable Use

You agree not to:

  • Use the Service to violate any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Use the Service to harass, monitor, or surveil individual employees without their knowledge.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated tools to scrape, crawl, or extract data from the Service beyond its intended API.
  • Share your account credentials with unauthorized third parties.

7. Intellectual Property

The Service, including its design, code, and content, is owned by Merov AI Inc. and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

8. Termination

You may cancel your account at any time. We may suspend or terminate your account if you violate these Terms or for any other reason with 30 days' notice. Upon termination:

  • Your access to the Service will cease immediately.
  • You may request an export of your data within 30 days of termination.
  • We will delete your data in accordance with our data retention policy.

9. Limitation of Liability

To the maximum extent permitted by law, Merov AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Service.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
